Terms of Service
These terms explain how buying from Morneto works. They cover what you pay, how plans renew and how to cancel them, who owns the work, and what happens if something goes wrong.
The terms
Effective date: September 22, 2026. These terms apply to everything you buy from Morneto LLC, whether you pay online at morneto.com or pay an invoice by card or bank transfer. We wrote them in plain English on purpose.
The short version. You see the price before you pay, and every project or “from” price is fixed in a written scope first. Plans renew automatically and keep being charged until they end. Website Care and Website Care Plus can be canceled any time, online at morneto.com/pay/ or by email to support@morneto.com; the plan then runs to the end of the month you have paid for, and no further month is charged. SEO and marketing, Google Ads management and the monthly part of Full Growth run month to month with 30 days’ written notice to support@morneto.com. A care plan paid a year up front does not renew for another year: after the twelve months it continues month to month at the monthly price until you cancel. When a project is paid in full, you own the site, the code and the design files, and we confirm that in a handover letter we sign. We do not guarantee rankings, traffic, leads, sales or ad results. Refunds are covered by our Refund and Cancellation Policy.
1. Who we are and what these terms cover
“Morneto”, “we” and “us” mean Morneto LLC, a limited liability company. We also do business as Morneto Web Design & SEO. “You” means the person or business buying from us. If you buy for a business, you confirm that you have the authority to accept these terms for it.

Your agreement with us has four parts:
- your written scope, which sets out the work, the price, the stages and the launch date;
- these terms;
- our Refund and Cancellation Policy;
- our Privacy Policy, for how we handle personal data.
If your written scope says something different from these terms, the written scope applies to that project.
2. How an agreement starts
Most work starts with a free audit of your search visibility, of an existing Google Ads account, or of both. The audit commits you to nothing, and you keep the findings whether or not you go on to work with us.
If you want to go ahead, we send you a written scope with one fixed price. For a project it also gives a launch date. Every “from” price on our website is a minimum, and the price you pay is the one in your written scope. You accept the scope by paying for it or by confirming it in writing. Website Care and Website Care Plus can also be bought without a scope, at the published price.
You accept these terms before you pay. When you pay online, you check a box to confirm that you accept these terms and our Refund and Cancellation Policy, and you cannot complete the payment until you do. We keep a record of when you accepted and which version of these terms applied. If you pay an invoice, your written scope links to these terms, and you accept them when you accept the scope. Before you pay for a plan, you see its price, how often you will be charged, how it renews, and how and by when to end it.
We may decline an order, for example one we cannot lawfully fulfill. If we do, we refund everything you paid for it.
3. What we sell
We sell website design and build, landing pages, logo design, SEO and marketing, Google Ads management, website care plans and consulting. Our pricing and service pages describe what each includes, and your written scope describes your own work. The first SEO engagement is a fixed-scope audit and fix.
We run the client relationship and the strategy ourselves, and we bring in specialists as subcontractors for parts of a project. We choose them and require them to keep your information confidential. We stay responsible to you for their work under these terms.
We do the work with reasonable care and skill, as your written scope describes it. If the scope needs to change, we agree on the change, and any change in price, with you in writing before we do the extra work.
4. Prices and what they do not include
All prices are in US dollars (USD). Our published prices are:

No price includes your Google Ads budget, hosting, domain registration, paid stock photography or premium plugin licenses. We tell you about those costs before you commit. Hosting, domain registration and premium plugin licenses stay in your name and are billed by your provider. You pay your Google Ads budget directly to Google. It never passes through us, and it is separate from our management fee.
If a tax applies to your purchase, it is shown at checkout or on the invoice before you pay.
5. How you pay
- Online by card. One-time payments go through the checkout on morneto.com, usually from the payment link on your invoice. Plans, including a care plan paid a year up front, open a secure checkout hosted by Stripe, our payment processor. Stripe handles your card details. We never see or store your full card number.
- By bank transfer. We invoice in US dollars and accept ACH and wire transfers. We can also take payment in other currencies, including euros for clients in the EU. Our payment details are printed on every invoice and are never published on our website.
You pay for projects in stages against the milestones in your written scope, and each stage is due when the scope says. We do not offer financing or pay-later plans. If a payment is late or a card payment fails, we tell you by email. If it stays unpaid, we may pause the work until it is paid, and the launch date moves back by the time the work was paused.
6. Plans: automatic renewal and how to cancel
SEO and marketing, Google Ads management, Website Care, Website Care Plus and the monthly part of Full Growth are monthly plans. Once you subscribe, your plan renews automatically. We charge the plan price every month, on the same date as your first charge, until the plan ends. If a month has no such date, for example no 31st, we charge on its last day. There is no long-term contract on a monthly plan.
Plans end in one of two ways, depending on what you bought. Website Care and Website Care Plus can be bought online and canceled any time. SEO and marketing, Google Ads management and the monthly part of Full Growth are business services that start only from a written scope, and they run month to month with 30 days’ written notice. Both routes are set out below.
The monthly part of Full Growth is a separate plan. Paying for the build does not start it. It starts only when you subscribe to it, and its first charge falls on the start date in your written scope.
You can also pay for Website Care and Website Care Plus a year up front, at ten months’ price for twelve months. A prepaid care plan does not renew for another year. After the twelve months you have paid for, it continues month to month at the normal monthly price, $97 or $197, charged on the same date each month, until you cancel. If you do not want it to continue, cancel before the prepaid year ends. That switch is part of what you agree to when you buy the plan, so it is not a price change under the last paragraph of this section.
The price of your plan is the price shown before you pay and in your confirmation email. For Google Ads management, the monthly fee of $497 covers ad spend up to $5,000 in that month. If your spend in a month goes above $5,000, we also charge 12 percent of the spend above $5,000. After the month ends, we calculate it from the spend shown in your Google Ads account, send you the calculation and invoice it. The 12 percent for your last month is invoiced after your plan ends.
How to cancel Website Care or Website Care Plus. You can cancel any time, in either of these ways:
- Online: choose “Manage or cancel a plan” on morneto.com/pay/ and sign in with the email address you subscribed with.
- By email: write to support@morneto.com and say which plan you want to cancel.
To stop a charge, cancel any time before its billing date. Your plan then runs to the end of the period you have already paid for, and no further period is charged. We do not refund a period that has already started, except that a prepaid care plan can end early with a partial refund, as our Refund and Cancellation Policy describes.
How to end SEO and marketing, Google Ads management or the monthly part of Full Growth. These plans run month to month with 30 days’ written notice. Email support@morneto.com and say which plan you want to end. The 30 days start on the day you send that email. Any monthly charge whose billing date falls within those 30 days is still due, and we keep working to the end of the month it pays for. No new month is charged after the 30 days end. For example, if your billing date is the 1st and you send your notice on June 20, the charge on July 1 is still due, your plan runs to July 31, and nothing is charged on August 1. The only amount that can follow is the 12 percent for your last month of Google Ads management, as described above.
If you ask us in writing to end a plan in some other way, we treat that as a cancellation too, and for those three plans as your notice, dated the day you send it. We may ask why you are leaving, but you do not have to answer, and asking never delays your cancellation. We confirm every cancellation by email, with the date your plan ends.
Notices we send you. As soon as you subscribe, we email you a confirmation with the plan, the price, how often you will be charged, how to stop a charge, and how to cancel or end the plan. Once you approve a written scope, the personal payment link we email you shows your price, the monthly renewal and the notice rule before you pay. We send notices to the email address you subscribed with. If you ask us to use another channel we offer, we use that as well.
Price changes and other changes. We do not charge a higher price for your plan unless you have agreed to it first. We tell you about a change to your plan’s price or terms between 5 business days and 30 days before it applies, and a change applies only from the start of a billing period. If you do not accept a new price, your plan ends at the end of the period you have paid for, and we charge you nothing more. If you do not want any other change, you can cancel before it applies, and we charge you nothing more.
7. Canceling and refunds
Our Refund and Cancellation Policy sets out how cancellation works for each service and when you get money back. It is part of these terms. In short:
- One-time projects. You get a full refund if you cancel before work starts. After that, you get back what you paid minus the value of the work delivered. If the work done is worth more than you have paid so far, we invoice the difference.
- Plans. We do not refund a billing period that has already started. For SEO and marketing, Google Ads management and the monthly part of Full Growth, a charge whose billing date falls within the 30 days’ notice is still due.
- Prepaid care plans. You can ask to end early and get back what you paid above the monthly price of the months you have started. A prepaid plan never renews for another year.
- Google Ads spend. You pay it to Google, so we cannot refund it.
8. What we need from you
- Access and information. We need the logins, content, brand assets and answers listed in your written scope, by the dates it gives. If we are waiting on you, the launch date moves back by the same amount of time.
- Approvals. We need your feedback and sign-off at each stage, in writing. Email is fine.
- Material you give us. Anything you send us, such as text, photos, logos or data, must be yours to use or properly licensed, and lawful to publish. You are responsible for it.
- Your own accounts. Hosting, domain, Google Ads and similar accounts stay in your name, and you pay their providers directly. We cannot keep a site or campaign running if the account behind it lapses.
9. Who owns the work
- Your website. Once you have paid for a project in full, we assign to you all our rights in the website, its code and the design files we made for it, so you own them. We confirm the assignment in a handover letter we sign.
- Your logo. Once you have paid for logo design in full, we assign to you all our rights in the final logo we deliver and its files, and confirm it in the same way.
- Your domain and accounts. Your domain, hosting and Google Ads account are registered in your name and are yours from the start. That includes the ad account’s history and data.
- Your content. Content we write for your site stays on your domain when you leave, and we do not remove or redirect it. We assign our rights in it to you once the month it was written in has been paid.
- Work by specialists. Specialists we bring in assign their rights in your work to us in writing, so that we can assign them to you.
- Other people’s components. Software such as WordPress, themes, plugins and fonts belongs to its makers, and stock images belong to their owners. You receive them under their own licenses.
- Our know-how. We keep our general methods, tools and know-how and may use them for other clients. We never reuse your content, your brand or your data.
- Our portfolio. We may show finished public work in our portfolio and name your business as a client, unless you tell us not to. We name an individual person only with their written permission.
10. Access to your systems and data
When we work on your website or ad account, we use the access you give us only for the agreed work. We do not copy data out of your systems, except the backups and reports the agreed work needs. We store those securely and delete them at the end of the engagement, when we also remove our access. For personal data held in your systems, you remain the controller and we act as your processor, as section 11 of our Privacy Policy describes. The same policy explains how we handle your own personal data as a customer.
11. Confidentiality
We keep non-public information about your business confidential. We share it only with the specialists and service providers who need it for your work. This does not cover information that is already public, or information the law requires us to disclose.
12. What we do not guarantee
We do not guarantee rankings, traffic, leads, sales or advertising results. Search engines, AI assistants and ad platforms decide what they show, and they change their rules without warning. We commit to doing the work in your written scope with care, and to reporting honestly on what it achieved.
13. Third-party services
Our work depends on services we do not control. These include Google, hosting companies, domain registrars, WordPress and its plugins, and Stripe. We are not responsible for their outages, for their decisions (such as an ad disapproval or an account suspension), or for changes to their rules and prices. If one of them causes a problem, we help you deal with it as part of the work in your scope. Specialists we bring in are not third-party services in this sense: we are responsible to you for their work.
14. Limits on our liability
If our work causes you a loss, our total liability for all claims relating to our services is limited to the greater of:
- the fees you paid us in the three months before the event that caused the loss; and
- the price of the project the claim relates to or, for a plan, the fees you paid for that plan in the twelve months before that event.
This limit does not apply to refunds or other amounts we owe you under our Refund and Cancellation Policy or section 15. We are not liable for indirect or consequential losses, such as lost profits, lost revenue or lost business opportunities, or for losses caused by third-party services.
Nothing in these terms limits liability for fraud, gross negligence or willful misconduct, or any liability that the law does not allow us to limit. Nothing in them takes away a right you have under the law that cannot be waived.
15. When we can end the work
We can end an engagement by email if a payment stays overdue after we have reminded you, if you ask us to do something unlawful, or if you seriously break these terms. We can also end a monthly plan for any reason, with 30 days’ notice. If we end a plan or a project and it is not your fault, we refund what you paid for any period or work we will not deliver.
16. Problems, disputes and the law that applies
If something is wrong, email support@morneto.com first. We reply within one business day. If you think a charge is wrong, please contact us before you dispute it with your card issuer. That request does not limit your right to dispute a charge.
The laws of the State of New York govern these terms. Any dispute we cannot resolve together will be decided by the courts located in New York County, New York, and we both agree to their jurisdiction.
17. Changes to these terms
We may update these terms. When we do, we change the effective date at the top of this page. A change does not affect a project already agreed in a written scope. A change that affects an active plan follows section 6: we email you between 5 business days and 30 days before it applies, it applies only from the start of a billing period, a higher price needs your agreement first, and you can cancel before any other change applies and pay nothing more.
18. General
- Entire agreement. Your written scope, these terms, the Refund and Cancellation Policy and the Privacy Policy make up the entire agreement between us about the work.
- Notices. We send notices to the email address you gave us. You send notices, including notice to end a plan, to support@morneto.com.
- Events outside our control. Neither of us is responsible for delays caused by events outside our reasonable control, such as a major outage at a provider. We tell you promptly and agree on a new date with you.
- Transfer. If our business is transferred to a new owner, we may transfer this agreement to them, and we will tell you first. You may transfer it with our written agreement.
- If one part is invalid. If a court finds part of these terms unenforceable, the rest still applies.
- Waiver. If we do not enforce a right immediately, we can still enforce it later.
